Description Legal Risk Management • Anaiyse Identified Legal Risks And Propose Appropriate Internal Mitigation Measures To Address Same • Identify Potential Liability And Propose Appropriate Mitigation Measures Negotiation Support • Participate In Negotiation Processes Under Supervision; • Appreciate The Different Positions / Interests And Needs Of Parties In Negotiations; • Conduct Research On Areas Of Laws Relevant To Particular Negotiation Points: Proffer Initial Legal Opinion Based On Research Undertaken. Support The Division’s Legal Secretariat Functions — • Maintain Up To Date Soft/hard Copy Records Of Key Corporate Minutes And Other Relevant Documents; • Prepare Initial Drafts Of Key Corporate Documents And Records; • Prepare Relevant Materials For Statutory Filing; • Support The Coordination Of Key Corporate Meetings; • Liaise With Corporate Office In Bermuda To Update Company's Statutory Records; • Undertake Research To Inform The Preparation Of Legal Opinions On Corporate Secretarial Issues And Proffer Legal Opinions On Same As Required; • Serve As Secretary At Assigned Meetings. Case Management/Dispute Resolution — • Litigation Management S Demonstrate Good Understanding Of Substantive And Procedural Law; • « Demonstrate Good Understanding Of Elements Of The Various Dispute Mechanisms And Identify Appropriate Dispute Mechanism To Be Adopted In Particular Circumstance; • « — Assess Claims, Extract Relevant Facts, Evidence And Determine Implicated Legal Principles And Proffer Initial Legal Advice On Company's Rights And Remedies; • Draft Position Papers/memoranda On Moderately Complex Matters In Dispute To Facilitate Decision-making; • Prepare Initial Drafts Of Processes Articulating Company's Position Re Matters In Dispute For Filling As Appropriate; • Represent The Company In Court Or Other Dispute Resolution Fora; • Analyse And Communicate Relevant Data/ Information/evidence To External Counsel; • Review Drafts Of Pleadings And Other Documentation Prepared By External Counsel; • Develop And Maintain A Cause List Of Ail Cases And Matters Involving The Company; • Undertake Contingent Liability Analysis Of Matters Involving The Company And Make Recommendations On Requisite Financial Provisions To Be Made. Investigation Support • Draft Terms Of Reference For Internal Investigations In Non-complex Matters; • «Serve As An Investigation Team Member To Provide Legal Guidance To Investigation Team To Ensure That Key Legal Principles Of Neutrality, Confidentiality, Principles Of Natural Justice, Etc. Are Respected; • * Recommend Appropriate Legal Actions To Be Taken Following The Outcome Of Internal Investigations. Legal Regulatory Compliance — Support The Division’s Legal Regulatory Compliance Function Of The Division As Follows: • Assist In Monitoring Legal Compliance Control Systems To Preclude Or Manage Issues Of Non-compliance With Legal, Ethical, Regulatory And Policy Guidelines And Prepare Initial Draft Reports Thereon; • Provide Support In Monitoring And Keeping Abreast With Regulatory Developments And Best Practices In Compliance Controls In The Industry; • Provide Legal Counsel And Guidance And Collaborate With Relevant Company Officers On Regulatory Compliance And Anti- Bribery And Corruption Matters To Monitor Enforcement Of Policies And Regulations; • Provide Research And Drafting Support In Formulating, Updating And Managing The Company's Compliance Programmes; • Support To Develop Materials And Facilitate Training On Compliance And Anti-Bribery & Corruption. Internal Divisional Duties — • Supervise And Coach Subordinate To Support The Division's Functions; • « Assist Senior Colleagues To Perform Sundry Administrative Functions Crucial To Work Of The Division: • » Work With The Executive Administrative Assistant To Facilitate The Administrative Functions Of The Office Of The General Counsel • » Other Duties As Assigned By Senior Colleagues. Key Deliverables /Key Performance Indicators (KPIs) • E Identify And Advise On Legal Risk And Liability Issues; Develop Alternatives For Managing Legal Risks; Recommend Appropriate Controls To Mitigate Legal Risk • E Apply Commercial Judgment In Providing Legal Advice; Draft, Review And Interpret Contracts In Line With Applicable Law And Contracting Policy; Identify Legal Implications And Challenge Contracts Accordingly; • E Assess The Dynamics Of Interests And Needs Of Negotiating Parties; Support To Resolve Conflict And Reach Mutually Acceptable And Legally Sound Solutions; Draft Documents To Reflect Negotiated Position. • « Effective Case Management Especially In Coordinating With External Solicitors To Provide Timely Updates.
